Chibitronics, Inc. (“Chibitronics,” “we,” “us,” or “our”) provides its services (described below) through our website at chibitronics.com (the “Site”). These services, including any new features, updates, or applications, are collectively referred to as the “Services.”
By accessing or using our Services, you agree to these Terms of Service (“Terms”). We may update or modify these Terms at any time, at our sole discretion, without prior notice. Any changes will be posted on this page, with the date of the last update indicated at the top. Your continued use of the Services after any changes means you accept the updated Terms. If you do not agree to the revised Terms, you must stop using the Services.
Additional terms may apply to specific services, such as our Privacy Policy, which is incorporated into these Terms by reference.
Access and Use of the Services
Description of Services
Our Services allow users to purchase and learn about Chibitronics products.
Registration Requirements
You may need to create an account to access certain features of the Services. If you register, you agree to provide accurate, current, and complete information and keep it updated. Your registration data and other personal information are subject to our Privacy Policy.
- You must be at least 13 years old to use the Services.
- If you are under 18 years old, you may only use the Services with the consent and supervision of a parent or guardian.
Sweepstakes and Contests
We may occasionally offer sweepstakes or contests through the Site. Participation is subject to the official rules provided on the relevant landing page. These rules are incorporated into these Terms by reference.
Account, Password, and Security
You are responsible for maintaining the confidentiality of your account information and password. You agree to:
- Notify Chibitronics immediately of any unauthorized use of your account or security breach.
- Log out at the end of each session.
We are not responsible for any loss or damage resulting from unauthorized use of your account.
(a) Your User Account. Your account or your Authorized Users’ accounts on the Services (your “User Account“) give you and your Authorized Users access to certain services and functionalities that we may, in our sole discretion, establish and maintain as part of the Services from time to time. We may maintain different types of User Accounts for different types of users. (b) Connecting Via Third-Party Services. The Service allows for integrations with third-party apps or tools to provide certain features. When using integrations with third-party services, you acknowledge that you will be governed by their terms. By connecting to the Services via a third-party service, you give us permission to access and use your and your Authorized Users’ information from that service, as permitted by that service, and to store log-in credentials and/or access tokens for that service. Google OAuth: Without limiting the foregoing, with respect to any use of Google OAuth to login to your User Account as integrated with the Services, you agree to comply with the Google APIs Terms of Service and such other terms and conditions as Google may provide from time to time.
Changes to the Services
We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice. We are not liable to you or any third party for any changes or interruptions to the Services.
Use and Storage
We may set limits on the use and storage of content submitted through the Services, such as the length of time data is retained and the maximum storage capacity. We are not responsible for the loss or deletion of any content. We may also terminate inactive accounts at our discretion.
Conditions of Use
User Conduct
You are solely responsible for any content you upload, post, publish, display, email, or otherwise transmit through the Service, including but not limited to reviews, comments, text, images, videos, and other materials (“Content”). The following types of content and behavior are prohibited. Chibitronics reserves the right to investigate and take appropriate legal action, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.
You agree not to use the Service to:
- Post or transmit unlawful or offensive content, including but not limited to:
- Content that is harmful, threatening, abusive, harassing, defamatory, obscene, or invasive of privacy.
- Hate speech, including content that is racially, ethnically, or otherwise objectionable.
- Pornographic or sexually explicit material.
- Transmit content you do not have the right to share under any law or contractual relationship.
- Create privacy or security risks for others or yourself.
- Infringe on intellectual property rights of Chibitronics or any third party.
- Send spam or engage in unauthorized advertising such as junk mail, chain letters, pyramid schemes, or other forms of solicitation.
- Transmit viruses, malware, or other harmful code that could disrupt the functionality of the Service.
- Impersonate others or misrepresent your identity or affiliation.
- Solicit personal information from anyone under the age of 18.
- Harvest or collect user information such as email addresses for unsolicited communications.
- Interfere with or disrupt the Service or its connected networks.
- Violate any local, state, national, or international law or promote illegal activities.
- Attempt to access restricted areas or obtain information not intentionally provided through the Service.
Taxes
You agree to pay all applicable taxes, duties, and fees incurred through your use of the Service, including shipping and handling charges, unless explicitly stated otherwise. You are also responsible for any local or district taxes that apply to your purchases.
Commercial Use
Unless expressly authorized by Chibitronics, you agree not to:
- Sell, reproduce, copy, modify, distribute, or create derivative works based on the Service or its content.
- Use the Service for any direct commercial purposes or for the benefit of any third party.
- Attempt to resell access to the Service or any related content.
The Service is intended for personal use only.
Intellectual Property Rights
Service Content, Software, and Trademarks
The Service and its content (“Service Content”) are protected by copyright, trademark, and other intellectual property laws. Unless explicitly authorized by Chibitronics:
- You may not modify, copy, rent, lease, loan, sell, distribute, or create derivative works from the Service Content.
- You may not engage in data mining, scraping, or similar data gathering methods.
- Any software underlying the Service is the property of Chibitronics and its partners. You may not reverse engineer, decompile, or attempt to access the source code.
The Chibitronics name and logo are trademarks of Chibitronics. Any other trademarks displayed through the Service are the property of their respective owners. You may not use any trademarks without prior written permission.
Third-Party Content
Chibitronics is not responsible for content posted by third parties or users. We do not pre-screen content, but we reserve the right to remove any content that violates these Terms or is otherwise objectionable.
You are solely responsible for evaluating the accuracy, completeness, and usefulness of any content shared through the Service.
User Content
You retain ownership of the content you post through the Service (“User Content”). However, by posting content, you grant Chibitronics a non-exclusive, worldwide, royalty-free, perpetual, and transferable license to use, display, distribute, modify, and promote your content in connection with the operation of the Service.
You are responsible for ensuring that you have the legal right to post any content. You may not post content that you do not own or have permission to use.
Compliance with EU and EEA Data Protection Regulations
If you are located in the European Union (EU) or European Economic Area (EEA), or if you are using the Service to process the personal data of individuals in the EU or EEA (including student data), Chibitronics is committed to complying with applicable data protection laws, including the General Data Protection Regulation (EU) 2016/679 (GDPR) and any applicable national laws implementing or supplementing the GDPR.
- Lawful Basis for Processing
Chibitronics will only process personal data where we have a lawful basis to do so. This includes processing that is necessary for:
- The performance of a contract with you.
- Compliance with a legal obligation.
- The protection of vital interests.
- The performance of a task carried out in the public interest.
- Our legitimate interests, where they are not overridden by your rights and interests.
- Your consent, which you may withdraw at any time.
- Student Data Protection
If you are a teacher, school administrator, or other educational authority using the Service to manage student data, you represent and warrant that you have obtained all necessary consents and authorizations required under applicable data protection laws to collect, store, and share student data with Chibitronics. Chibitronics will process such data solely for the purpose of providing the Service and in compliance with applicable privacy and data protection regulations. - Data Subject Rights
If you are located in the EU or EEA, you have the following rights under the GDPR:
- The right to access your personal data and request a copy of it.
- The right to rectify inaccurate or incomplete data.
- The right to erasure (“right to be forgotten”) under certain conditions.
- The right to restrict or object to processing of your data under certain conditions.
- The right to data portability.
- The right to withdraw consent at any time without affecting the lawfulness of processing based on consent before its withdrawal.
- Data Transfers
Chibitronics may transfer your data outside of the EU/EEA to jurisdictions that may not provide the same level of data protection. In such cases, we will ensure that appropriate safeguards are in place, such as standard contractual clauses approved by the European Commission or other lawful mechanisms. - Data Retention and Security
Chibitronics will retain personal data only for as long as necessary to provide the Service or as required by law. We implement appropriate technical and organizational measures to protect your data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access. - Educational Institutions and Student Data
If you are an educational institution using the Service to process student data, you are responsible for ensuring that such processing complies with applicable data protection laws, including providing any required notices and obtaining any necessary consents. Chibitronics will act as a data processor on your behalf, and our processing of student data will be governed by a data processing agreement, which can be requested by contacting info@chibitronics.com.
Feedback and Submissions
If you provide Chibitronics with feedback, suggestions, or other input (“Submissions”), we are free to use and act on those Submissions without any obligation to compensate you.
Content Preservation and Disclosure
Chibitronics may preserve and disclose content if:
- Required by law or legal process.
- Necessary to enforce these Terms.
- Needed to respond to claims of rights violations.
- Necessary to protect the safety or rights of Chibitronics, its users, or the public.
Technical processing of the Service may involve transmissions over various networks and changes to conform with technical requirements of those networks.
Copyright Complaints
Chibitronics respects the intellectual property rights of others, and we expect our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement or that your intellectual property rights have been otherwise violated, please notify Chibitronics by following the procedure outlined below.
Chibitronics will investigate notices of alleged infringement and take appropriate action under the Digital Millennium Copyright Act (“DMCA”) and other applicable intellectual property laws. Notices of claimed copyright infringement will only be accepted via postal mail at the following address:

To be effective, your notification must be in writing and include the following information:
- An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest.
- A description of the copyrighted work or other intellectual property that you claim has been infringed.
- A description of where the material that you claim is infringing is located on the Site or Service, with sufficient detail to allow us to find it.
- Your address, telephone number, and email address.
- A statement that you have a good faith belief that the disputed use is not authorized by the copyright or intellectual property owner, its agent, or the law.
- A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the owner’s behalf.
Counter-Notice
If you believe that your content was removed (or access to it was disabled) as a result of a mistake or misidentification, or that you have authorization from the copyright owner, their agent, or under applicable law to post and use the content, you may send a counter-notice to the Copyright Agent containing the following information:
- Your physical or electronic signature.
- Identification of the content that has been removed or to which access has been disabled, and the location at which the content appeared before it was removed or disabled.
- A statement that you have a good faith belief that the content was removed or disabled due to a mistake or misidentification.
- Your name, address, telephone number, and email address, and a statement that you consent to the jurisdiction of the federal court located within the Northern District of California and that you will accept service of process from the person who provided the original copyright notice.
If Chibitronics receives a valid counter-notice, we will send a copy of the counter-notice to the original complainant. Unless the original complainant files a legal action seeking a court order against the content provider, member, or user, the removed content may be restored, or access to it may be re-enabled within 10 to 14 business days after receipt of the counter-notice, at Chibitronics’s sole discretion.
Repeat Infringer Policy
In accordance with the DMCA and other applicable laws, Chibitronics has adopted a policy of terminating, in appropriate circumstances and at its sole discretion, users who are deemed to be repeat infringers. Chibitronics also reserves the right to limit access to the Site and/or terminate accounts of any users who infringe on the intellectual property rights of others, whether or not there is repeat infringement.
Third-Party Websites
The Service may provide, or third parties may provide, links or other access to external websites and resources. Chibitronics has no control over such external sites and resources and is not responsible for their content or availability. You acknowledge and agree that Chibitronics is not responsible or liable for any damage or loss caused by or in connection with your use of or reliance on any content, goods, services, or information available on or through any such third-party site or resource.
Any dealings you have with third parties while using the Service are solely between you and the third party. Chibitronics is not liable for any loss or claim you may have against such third parties.
Third-Party Services
Chibitronics may integrate various third-party services into the Service to enhance your experience. To use these features, you may need to log into the third-party services on their respective platforms. By enabling such services, you consent to Chibitronics passing your log-in information to these service providers.
Please refer to our Privacy Policy at https://chibitronics.com/privacy-policy/ for details about how Chibitronics handles your data in connection with third-party services. However, the use, storage, and disclosure of your information by third-party services are governed solely by the policies of those third parties. Chibitronics is not liable for the privacy practices or actions of any third-party service provider.
Indemnity and Release
You agree to release, indemnify, and hold harmless Chibitronics and its affiliates, officers, employees, directors, and agents from any and all losses, damages, expenses (including reasonable attorney fees), claims, or injuries (including death) arising out of or relating to:
- Your use of the Service.
- Your User Content.
- Your connection to the Service.
- Your violation of these Terms of Service.
- Your violation of the rights of any other party.
If you are a California resident, you waive California Civil Code Section 1542, which states:
“A general release does not extend to claims that the creditor does not know or suspect to exist in their favor at the time of executing the release, which, if known by them, must have materially affected their settlement with the debtor.”
Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis. Chibitronics expressly disclaims all warranties of any kind, whether express, implied, or statutory, including, but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
- That the Service will be uninterrupted, timely, secure, or error-free.
- That any results obtained from the use of the Service will be accurate or reliable.
- That the quality of any products, services, or information obtained through the Service will meet your expectations.
Limitation of Liability
Chibitronics is not liable for any indirect, incidental, special, consequential, or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from:
- Your use of or inability to use the Service.
- Unauthorized access to or alteration of your data.
- Any conduct or statements by third parties on the Service.
- Any other matter related to the Service.
Chibitronics’s total liability will not exceed the greater of the amount you have paid to Chibitronics in the last six (6) months or one hundred dollars ($100).
Arbitration
Disputes arising from these Terms of Service will be settled through binding arbitration conducted by the United States of America. Unless otherwise agreed, arbitration will be held in Delaware before a single arbitrator. The arbitrator’s award will be final and binding.
Termination
Chibitronics may suspend or terminate your access to the Service at any time for any reason without prior notice. Upon termination, your right to use the Service will cease immediately.
User Disputes
You are solely responsible for your interactions with other users. Chibitronics is not liable for any disputes between users.
General
These Terms of Service are governed by the laws of Delaware. If any provision is held invalid, the remaining terms will remain in effect.
